IMPORTANT: Please read these Terms of Service ("Terms," "Agreement") carefully before using Codexse. By accessing or using our platform at codexse.com, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not access or use our services.
1. Definitions
In these Terms:
- "Codexse," "we," "us," "our" refers to Codexse and its affiliates
- "Platform," "Service" refers to the codexse.com website and all related services
- "User," "you," "your" refers to any person or entity accessing or using the Platform
- "Buyer" refers to Users who purchase Products on the Platform
- "Seller" refers to Users who list and sell Products on the Platform
- "Product" refers to digital goods, templates, code, designs, and other digital assets sold on the Platform
- "Content" refers to all text, images, files, and materials uploaded to the Platform
2. Acceptance of Terms
By creating an account, making a purchase, listing products for sale, or otherwise using Codexse, you confirm that:
- You have read, understood, and agree to these Terms
- You agree to our Privacy Policy
- You are legally capable of entering into binding contracts
- You will comply with all applicable local, national, and international laws
3. Account Registration and Security
3.1 Eligibility
To create an account, you must:
- Be at least 18 years old (or the age of majority in your jurisdiction)
- Have the legal authority to enter into this Agreement
- Not have been previously banned from the Platform
- Provide accurate, complete, and current registration information
3.2 Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized use at security@codexse.com
- Keeping your account information up to date
We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for extended periods.
3.3 One Account Per Person
Each User may maintain only one account. Creating multiple accounts to circumvent restrictions, manipulate the Platform, or commit fraud is strictly prohibited and may result in permanent ban and legal action.
4. Products and Purchases
4.1 Product Listings
Products are listed by independent Sellers. While we review submissions for quality and compliance, we do not guarantee the accuracy, completeness, or quality of any Product. Buyers should:
- Review product descriptions, previews, and documentation carefully
- Check system requirements and compatibility
- Review the applicable license before purchase
- Contact the Seller with questions before purchasing
4.2 Pricing and Payment
- All prices are displayed in US Dollars (USD) unless otherwise indicated
- Sellers set their own prices; Codexse does not control pricing
- Prices may change at any time without prior notice
- Payment is processed through secure third-party processors (Stripe, PayPal, Payoneer)
- You authorize us to charge your selected payment method for all purchases
- Applicable taxes (VAT, sales tax) are calculated and collected as required by law
4.3 Digital Delivery
Upon successful payment:
- You receive immediate access to download purchased Products
- Download links are available in your account dashboard
- You are entitled to re-download products from your purchase history
- Product updates (if provided by the Seller) will be available at no additional cost
4.4 Order Cancellation
Due to immediate digital delivery, orders cannot be cancelled after the download link becomes available. Please review all product details before completing your purchase.
5. License Terms

5.1 Standard License (Personal & Commercial Use)
Unless otherwise specified, purchasing a Product grants you a non-exclusive, worldwide, perpetual license to:
- Use the Product in unlimited personal and commercial projects
- Modify, adapt, and create derivative works
- Use the Product as part of a larger work for end clients
5.2 License Restrictions
You may NOT:
- Resell, sublicense, redistribute, or share the Product files (in original or modified form)
- Include the Product in any product that competes with the original (e.g., selling as a template)
- Use the Product in "on-demand" or "made for you" services where the Product is the primary value
- Claim trademark or exclusive ownership of the Product
- Use the Product for illegal, defamatory, or harmful purposes
- Remove or alter copyright notices, watermarks, or attribution
5.3 Extended License
Some Products offer an Extended License with additional rights. Review the specific license terms displayed on each Product page.
6. Refund Policy
For complete details, see our Refund Policy. Summary:
6.1 Eligibility
Refunds may be granted within 14 days of purchase if:
- The Product is materially different from its description or preview
- The Product files are corrupt, incomplete, or non-functional
- Technical issues on our Platform prevented download
- You were charged multiple times for the same Product
6.2 Non-Refundable Items
Refunds are NOT available for:
- Change of mind or no longer needing the Product
- Failure to read the Product description or requirements
- Incompatibility with your software (if requirements were stated)
- Products that have been downloaded and used
- Services that have been delivered or started
7. Seller Terms
7.1 Seller Eligibility
To become a Seller, you must:
- Complete the seller application and verification process
- Provide accurate tax information (W-9 for US sellers, W-8BEN for international)
- Connect a valid payment method for receiving payouts
- Agree to the Seller Agreement and these Terms
7.2 Seller Obligations
As a Seller, you agree to:
- Own or have proper license to sell all Products you list
- Provide accurate, complete, and honest Product descriptions
- Deliver Products that match their descriptions and previews
- Respond to customer support inquiries within 48 hours
- Keep Products updated and fix reported bugs
- Not manipulate ratings, reviews, or sales figures
- Comply with all applicable laws, including tax obligations
7.3 Commission and Payouts
- Codexse retains a commission (typically 15-30%) on each sale
- Commission rates vary by seller tier and may change with notice
- Payouts are processed monthly with a minimum threshold of $50
- Payouts are subject to a holding period for refund protection
- You are responsible for all taxes on your earnings
7.4 Product Review
We reserve the right to review, reject, or remove any Product that:
- Violates these Terms or our Guidelines
- Infringes intellectual property rights
- Contains malware, viruses, or malicious code
- Is of insufficient quality
- Receives excessive refund requests or complaints
8. Intellectual Property
8.1 Codexse Property
The Codexse Platform, including its design, code, logos, trademarks, and content (excluding User Content), is owned by Codexse and protected by copyright, trademark, and other intellectual property laws. You may not:
- Copy, modify, or distribute our Platform or content
- Use our trademarks without written permission
- Reverse engineer, decompile, or disassemble our software
- Create derivative works based on our Platform
8.2 User Content
You retain ownership of Content you upload. By submitting Content, you grant Codexse a non-exclusive, worldwide, royalty-free license to:
- Display, distribute, and promote your Content on our Platform
- Use your Content in marketing and promotional materials
- Modify your Content for formatting and display purposes
- Sublicense these rights to service providers as necessary
8.3 Copyright Infringement (DMCA)
We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe Content infringes your copyright, submit a notice to our designated agent:

- Identification of the copyrighted work claimed to be infringed
- Identification of the infringing material and its location on our Platform
- Your contact information (name, address, email, phone)
- A statement that you have a good faith belief the use is unauthorized

- Your physical or electronic signature
9. Prohibited Activities
You agree NOT to:
- Violate any applicable laws, regulations, or third-party rights
- Upload, sell, or distribute Content you don't have rights to
- Upload malware, viruses, trojans, or harmful code
- Engage in fraud, phishing, or deceptive practices
- Harass, abuse, threaten, or discriminate against other Users
- Manipulate reviews, ratings, or sales through fake accounts
- Scrape, crawl, or collect data using automated means
- Attempt to bypass security measures or gain unauthorized access
- Interfere with or disrupt the Platform's operation
- Use the Platform for any illegal or unauthorized purpose
- Solicit Users to transact outside the Platform
- Impersonate another person or entity
10. Disclaimer of Warranties
THE PLATFORM AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES REGARDING ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
- WARRANTIES REGARDING THIRD-PARTY PRODUCTS OR SERVICES
Some jurisdictions do not allow disclaimer of implied warranties. In such cases, the above disclaimers may not apply to you.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- CODEXSE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- THIS INCLUDES BUT IS NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
- OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD
Some jurisdictions do not allow limitations on liability. In such cases, the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless Codexse, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Platform or any Products
- Your violation of these Terms
- Your Content or Products (for Sellers)
- Your violation of any rights of a third party
- Any dispute between you and another User
13. Termination
13.1 Termination by You
You may close your account at any time through your account settings or by contacting support. Upon termination:
- You retain access to previously purchased Products
- Sellers must fulfill pending orders and support obligations
- Outstanding payouts will be processed per normal schedule
13.2 Termination by Codexse
We may suspend or terminate your account immediately if you:
- Violate these Terms or our policies
- Engage in fraudulent or illegal activity
- Pose a security risk to the Platform or Users
- Receive excessive complaints or refund requests
We may also terminate accounts for inactivity or discontinue the Service with reasonable notice.
13.3 Effect of Termination
Upon termination:
- Your right to access the Platform ends immediately
- Licenses to purchased Products remain valid
- Sections that by nature should survive (indemnification, limitation of liability, etc.) will survive
- We may retain your data as required by law
14. Dispute Resolution
14.1 Informal Resolution
Before filing a claim, you agree to first contact us at legal@codexse.com to attempt informal resolution. Most disputes can be resolved quickly through direct communication.
14.2 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. For EU residents, this does not affect your rights under mandatory consumer protection laws.
14.3 Arbitration Agreement
Any disputes that cannot be resolved informally shall be settled by binding arbitration under the rules of the American Arbitration Association. Arbitration will be conducted in English in Wilmington, Delaware, or via video conference at your option.
14.4 Class Action Waiver
YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.
14.5 Exceptions
This arbitration agreement does not apply to:
- Claims for injunctive relief regarding intellectual property
- Small claims court actions (if eligible)
- Claims that cannot be arbitrated by law
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Codexse regarding the Service.
15.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations to any successor entity.
15.5 Force Majeure
We are not liable for any failure or delay due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
16. Changes to Terms
We may modify these Terms at any time. When we make material changes:
- We will update the "Last updated" date at the top
- We will notify you via email at least 30 days before changes take effect
- We may display a prominent notice on the Platform
Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service.
